The essential basics of writing clear documents and contracts covering essential basic vocabulary and phrases which are most often used in legal documents such as contracts and other agreements. It provides explanations of the meaning and use of archaic legal English.

Teaching the essential skills of drafting clear contracts, including the key elements of English contract law and terminology. The course includes contracts, non-competition and confidentiality agreements, assignments and third party rights, guarantees, indemnities, warranties, conditions and other contract terms. Rights, remedies and enforceability are all covered. The course exercises which make up most of the tasks help participants learn the vocabulary and phrases through context, testing and reinforcement. All the Instructors are either practicing British lawyers, working in the area of Commercial and Contract Law or experienced teachers of Law and Legal English.

COURSE OUTLINE

Contracts I
Language used in describing the contract formation and specific contract clauses (examples of vocabulary: assignment, boilerplate, counter-offer, indemnification, liquidated damages, severability)

Contracts II
Terminology associated with the defenses to contract formation and other common law and statutory concepts
(examples: consideration, delegate, duress, fraud, nominal)

Contract Remedies I
Vocabulary to describe the concepts of remedies and the various types of damages and ways of writing demands and requests for remedies(examples: equitable relief, exemplary, mitigation, punitive)

Contract Remedies II
written descriptions of various forms of contractual remedies and relief (examples: declaratory judgment, injunction, laches, specific performance)

Non-Competition and Confidentiality
Writing valid examples of non-competition clauses and confidentiality undertakings (examples: know-how, proprietary information, trade secrets)

Guarantees, Indemnities, Representations & Warranties
Language relating to assurances contained in various agreements and structuring the documents (examples: guarantee, indemnity, misrepresentation, puffery)

Assignment and Third-Party Rights
Terms relating to the transfer of rights or obligations under an agreement and examples of transfer agreements (examples: beneficiary, successors, privity)

Conditions and other Contract Terms
Drafting Contract terms. Satisfying contractual conditions. Types of conditions (examples: conditions precedent/subsequent, material adverse change)

Parol Evidence & Implied Terms
Outside circumstances and implicit terms when interpreting contracts (examples: course of dealing, integration, merchantability)

Performance
Vocabulary of performance in a contract (examples: frustration, impossibility, perfect tender)

Standard Forms and Advertised Offers
Terminology associated with templates and standard agreements (examples: adhesion, invitation to treat, unconscionability)

Termination
Vocabulary relating to the cessation of agreements and clauses and notices of cessation (examples: accord and satisfaction, repudiation, rescission)

Contract Interpretation
Language relating to the manner in which contracts are construed (examples: ambiguity, construction, trade usage)

Public Procurement
Vocabulary necessary to explain bidding in contracts and examples of standard procurement contracts (examples: auction, bid rigging, transparency)

Licence Agreements
Various forms of licensing contracts (examples: arm’s length, shrink wrap, upfront royalty)
